Membership Agreement & Terms of Service

This Membership Agreement and Terms of Service (the "Agreement") is entered into by and between Center of Intention, LLC ("COI," "we," "us," or "our"), located at 7567 Amador Valley Blvd, Suite 210, Dublin, CA 94568, and the individual or entity completing the online registration process ("Member," "you," or "your").
By checking the "I Agree" box, completing your registration, or utilizing our facilities, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions contained herein.
1. Our Mission & Your Practice
Center of Intention, LLC provides premium, intentionally designed therapy rooms and private offices at 7567 Amador Valley Blvd, Suite 210, Dublin, CA 94568, specifically curated for mental health and wellness professionals. Our goal is to provide the physical foundation for your practice so you can focus entirely on your clients.
2. Nature of the Relationship
This Agreement grants you a revocable, non-exclusive license to utilize the designated workspaces and common areas at our Dublin facility in accordance with your selected membership tier. This Agreement does not constitute a lease, sublease, or any form of real property interest. No landlord-tenant relationship is established by this Agreement. COI reserves the right to modify, suspend, or revoke access privileges at our sole discretion, subject to the terms outlined below.
3. Professional Independence & Liability
- No Clinical Affiliation
COI is strictly a workspace provider. We are not a healthcare facility, medical practice, or clinical organization. We do not employ, supervise, or direct any practitioners utilizing our space. We provide no clinical oversight, diagnostic services, or billing support.
- Your Responsibilities
You operate as an independent professional. You are solely responsible for maintaining all necessary licenses, certifications, and permits required for your scope of practice. You must
comply with all applicable ethical guidelines and legal requirements, including but not limited to HIPAA and California state regulations governing your specific profession.
- Insurance Requirements
You must maintain active professional liability (malpractice) insurance with coverage limits appropriate for your field. Upon request, you agree to provide COI with a certificate of insurance. You must notify us immediately of any lapse or material change in your coverage.
4. Membership Tiers & Access
- Plan Selection
Your specific access rights, included hours, and monthly fees are determined by the membership plan you select during registration (e.g., hourly therapy room access, daily rates, or dedicated monthly private offices).
- Authorized Users
Your membership covers you and your direct clients. You may not share your access credentials, keys, or booking privileges with other practitioners. If you operate a group practice, each practitioner must have their own account or be explicitly registered under an approved group billing plan.
- Facility Usage
- Reservations: All room usage (except dedicated monthly offices) must be booked in advance through our scheduling Walk-in usage of unreserved rooms is strictly prohibited.
- Timing: Youmust respect your booked time A 5-minute grace period is provided before and after your reservation. Remaining in a room beyond this window will result in automatic overage charges billed in 15-minute increments.
- Condition of Space: You must leave the room exactly as you found it. All personal items, client materials, and trash must be removed at the end of your session.
5. Billing, Fees, & Auto-Renewal
- Automatic Renewal
In compliance with California Business and Professions Code §§17600‒17606, your membership will automatically renew at the end of each billing cycle (monthly, unless otherwise specified) at the then-current rate. You expressly consent to this automatic renewal by completing your purchase. You may cancel auto-renewal at any time via your member portal.
- Payment Terms
Recurring membership fees are billed in advance on the first day of your billing cycle. Usage-based fees (overages, late cancellations) are billed in arrears. You authorize COI to charge your payment method on file for all amounts owed.
- Cancellations & Penalties
- Booking Cancellations: Hourly or daily room reservations must be canceled at least 24 hours in advance to avoid being charged the full session
- Late Payments: Invoices not paid within 5 days of the due date will incur a $25 late Returned payments or chargebacks will incur a $35 processing fee.
- Property Damage: You are financially responsible for any damage to the facility, furniture, or equipment caused by you or your clients, beyond normal wear and

To maintain a professional, healing environment for all practitioners and clients, you agree to the following:
- Client Supervision: You are responsible for your clients' Clients should not be left unattended in treatment rooms or wander the facility.
- Noise & Privacy: While our rooms are sound-dampened, you must maintain appropriate volume levels in common areas to respect ongoing sessions.
- Security: Do not prop open exterior doors or share access Ensure treatment room doors are closed during sessions.
- Prohibited Activities: You may not use the space for any illegal purposes, multi-level marketing, or activities outside your stated professional No pets are allowed, except legally recognized service animals.
7. Confidentiality & Privacy
- Shared Environment
Operating in a shared facility means you may inadvertently encounter other practitioners or their clients. You agree to maintain strict confidentiality regarding the identity of any individuals you see at the facility and any information you may overhear.
- Client Data
You are solely responsible for securing your clients' Protected Health Information (PHI) and personal data. COI does not provide secure physical storage for patient files unless explicitly included in a dedicated private office lease.
8. Cancellation & Termination
- Cancellation by Member
You may cancel your recurring membership by providing 30 days' written notice via the member portal or email. Cancellations take effect at the end of the notice period. No prorated refunds are provided for partial months.
- Termination by COI
We reserve the right to terminate your membership immediately and without notice if you:
- Engage in dangerous, illegal, or highly disruptive
- Fail to pay outstanding balances after a reasonable cure
- Violate the core terms of this Agreement or compromise the safety of the

9. Disclaimers & Limitation of Liability
- "As Is" Provision
The workspace and services are provided on an "as is" and "as available" basis. COI disclaims all warranties, express or implied, including fitness for a particular purpose. We do not guarantee uninterrupted access due to maintenance, utility failures, or circumstances beyond our control.
- Liability Cap
To the maximum extent permitted by California law, COI, its owners, and agents shall not be liable for any indirect, incidental, or consequential damages, including lost profits or business interruption. Our total liability for any direct damages shall not exceed the total membership fees paid by you in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Center of Intention, its affiliates, and staff from any claims, liabilities, damages, or legal costs (including attorney's fees) arising from:
- Your use of the facility.
- The actions of your clients or guests.
- Your provision of professional services.
- Any breach of this Agreement.
11. Dispute Resolution & Governing Law
- Informal Resolution
In the event of a dispute, both parties agree to attempt to resolve the matter informally for at least 30 days before initiating formal proceedings.
- Arbitration & Class Action Waiver
If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA). You waive your right to a jury trial and agree to bring claims only in your individual capacity, not as a plaintiff or class member in any class or representative action.
- Governing Law
This Agreement shall be governed by the laws of the State of California. Any permitted court proceedings shall take place exclusively in Alameda County, California.
12. General Provisions
- Severability: If any part of this Agreement is deemed unenforceable, the remaining provisions will remain in full eff
- Modifications: COI may update these terms with 30 days' written Continued use of the space constitutes acceptance of the new terms.
- Entire Agreement: This document, along with your specific plan details, constitutes the entire agreement between you and COI.
